Marriott - Advised on the acquisition of 47 Marriott Hotels from the Royal Bank of Scotland for a price in excess of £1 billion. The team’s advice included all aspects of the acquisition including corporate and real estate due diligence, corporate acquisition, banking, hotel management and asset management due diligence, profit share and shareholder agreements. LG also project managed the deal across various jurisdictions including the BVI, Luxembourg and Cyprus.
Capital Hill Hotels Limited - Advised an investor in its purchase, through its vehicle Capital Hill Hotels Limited, of the Sanderson Hotel and the St Martin’s Lane Hotel in London for £192 million. The hotels were jointly owned by Morgans and Walton Street Capital. Morgans has entered into a long term agreement with the new owners to continue to manage the Hotels to 2041. In what was a particularly complex deal, we advised on the corporate acquisition, new management agreements, trademark licences, new asset management agreements and all real estate aspects including recasting the existing food and beverage leases. We are also advising on the new £120 million loan facility.
Hilton - Advised on the acquisition of 16 Hilton Hotels all of which are operated under management agreements from the Royal Bank of Scotland for a price in excess of £400 million. The team’s advice included all aspects of the acquisition banking, hotel management and asset management due diligence. Since acquisition of these 16 hotels we have acted for the owners and their asset managers on the numerous management agreement and operational issues and matters which have arisen in respect of these hotels. Recently completed the successful restructuring of the group’s debt arrangements, with a syndicate of lenders. We also advised Hilton International in the implementation of its strategy for the modernisation of its hotel ICT systems and customer services.
